Terms of Service

These Terms of Service govern your use of Katalist ("the Service"), a music project management platform operated by Katalist ("we," "us," "our"). By creating an account or using Katalist in any way, you agree to be bound by these terms. If you do not agree, do not use the Service.

Identity & Agreement

Acceptance of Terms
By registering for an account, accessing, or using Katalist, you confirm that you have read, understood, and agree to be bound by these Terms of Service. Your continued use of the Service after any update to these terms constitutes acceptance of the updated terms.
Eligibility
You must be at least 13 years old to use Katalist. You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a paid subscription. By creating an account, you confirm that you meet these requirements.

Your Account

Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your account with others. If you become aware of any unauthorized access to your account, notify us immediately at [email protected]. We are not liable for any loss resulting from unauthorized account access.
Username Policy
Your username is set at registration and cannot be changed. Choose carefully. Usernames must not impersonate another person or entity, or use protected brand names.

Your Content

Content Ownership
Your music, audio files, lyrics, notes, and any other content you upload to Katalist remain entirely yours. We claim no ownership over any content you upload. These terms do not transfer any intellectual property rights to Katalist.
License Grant to Katalist
By uploading content to Katalist, you grant us a limited, non-exclusive, royalty-free license to store, process, transmit, and display your content solely for the purpose of operating and providing the Service to you. This license terminates when you delete your content or close your account.
Prohibited Content & Conduct
You are solely responsible for all content you upload. You agree not to upload or use Katalist to distribute:
  • Content that infringes copyright, trademark, or other intellectual property rights you do not own or have rights to
  • Illegal content of any kind
  • Malware, viruses, or any malicious code
  • Content that harasses, threatens, or harms others
  • Content that violates any applicable law or regulation
Shared & Collaborative Content
If you upload content that is linked to a shared or collaborative project, other collaborators may lose access to that content if you delete it, revoke project access, or close your account. Katalist is not responsible for disruption to shared projects resulting from another collaborator's removal of their own content.
DMCA & Copyright Infringement
Katalist respects intellectual property rights and responds to valid notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA).

Filing a takedown notice. If you believe content on Katalist infringes your copyright, send a written notice to our designated DMCA agent at [email protected] including: (1) a description of the copyrighted work claimed to be infringed; (2) the URL or specific location of the allegedly infringing content; (3) your contact information; (4) a statement that you have a good-faith belief the use is unauthorized; (5) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner; and (6) your physical or electronic signature.

Counter-notification. If your content was removed and you believe this was a mistake or misidentification, you may submit a counter-notice with: (1) identification of the removed content and its prior location; (2) a statement under penalty of perjury that you have a good-faith belief the content was removed in error; (3) your contact information; and (4) a statement consenting to the jurisdiction of the federal court in your district (or, if outside the U.S., an appropriate judicial district) and that you will accept service of process from the original complainant.

Repeat infringers. We reserve the right to terminate the accounts of users who are repeat infringers.

Our Rights

Account Termination & Banning
Katalist reserves the right to suspend or permanently ban any account at our sole discretion, with or without notice, for any reason. This includes but is not limited to: violation of these terms, abusive behavior toward other users or our team, fraudulent activity, or any conduct we determine to be harmful to the Service or its users. No refund is owed for any remaining subscription period following a ban for terms violations.
Termination by You
You may close your account at any time from your account settings. Closing your account will stop future billing as of the end of your current billing period. Your uploaded content will be deleted according to the data retention terms described below, unless you export it first.
Data Retention After Account Closure
If you close your account voluntarily, or your account is suspended for exceeding storage quotas, you will have 30 days to export your content before it is permanently deleted. If your account is banned for violating these Terms (including uploading illegal content, malware, or content that infringes third-party rights), we reserve the right to delete your content immediately without a grace period.
Content Removal
We reserve the right to remove any uploaded content at any time, with or without notice, for any reason including but not limited to violation of these terms, applicable law, or DMCA takedown requests.
Modifications to the Service
We may change, limit, suspend, or discontinue any part of Katalist at any time without liability to you. We will make reasonable efforts to notify users of significant changes.

Privacy & Data

We Will Not Sell Your Music or Data
Katalist will never sell your music, audio files, or personal data to any third party. Your creative work exists on our platform for your benefit, not ours. We do not monetize your content or analyze it for advertising.

We may share limited data with service providers who help us operate Katalist — for example, payment processors and cloud hosting providers — solely so they can perform those services for us, under contracts that prohibit them from using your data for any other purpose. We do not share your data with data brokers or advertisers.
Data Use
Information we collect (such as your email address and usage patterns) is used solely to operate and improve the Service, communicate with you about your account, and process billing. We do not sell or share this data with third parties for marketing or advertising purposes.
Storage & Quotas
Your account is subject to storage limits based on your subscription plan (Free: 1 GB / Basic: 20 GB / Premium: 100 GB). If you exceed your quota, we may prevent new uploads until you are back under your limit, but we will not delete your existing content solely for being over quota. We will make reasonable efforts to notify you before restricting your account.

Billing & Subscriptions

Subscriptions
Paid plans are billed on a monthly recurring basis. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not issue refunds for partial billing periods, except where required by applicable law. If we change the price of your subscription plan, we will notify you at least 30 days in advance. Continuing your subscription after a price change takes effect constitutes acceptance of the new price.
Plan Changes & Downgrades
You may upgrade or downgrade your plan at any time. Downgrading to a lower tier may result in access restrictions if your current storage usage exceeds the new plan's limits. It is your responsibility to manage your storage accordingly before downgrading.

Liability & Warranty

Disclaimer of Liability for User Content
Katalist is not responsible for any content uploaded by users. We do not monitor, endorse, or take responsibility for user-uploaded content, including but not limited to copyright infringement, defamation, privacy violations, or any other harm caused by content uploaded to the Service. You upload content at your own risk and bear full legal responsibility for it.
No Warranty
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that your data will be preserved without loss. We strongly recommend maintaining your own backups of your music files.
Limitation of Liability
To the maximum extent permitted by applicable law, Katalist's total liability to you for any claim arising from or related to the use of the Service shall not exceed the total amount you paid us in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.
Indemnification
You agree to defend, indemnify, and hold harmless Katalist and its operators from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (1) your use of the Service, (2) your uploaded content, (3) your violation of these terms, or (4) your violation of any third-party rights.

General

Changes to These Terms
We may update these Terms of Service at any time. When we do, we will update the effective date at the top of this page and make reasonable efforts to notify users of material changes. Continued use of Katalist after changes are posted constitutes your acceptance of the revised terms.
Governing Law
These terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions, and without regard to the United Nations Convention on Contracts for the International Sale of Goods.
Severability
If any provision of these terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
